Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FluxOS cloud platform, websites, APIs, and related services (the "Service"), operated by Flux Data Systems, LLC ("Flux Data Systems," "we," "us," or "our"), a Delaware limited liability company. "FluxOS" is a product of Flux Data Systems, LLC. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
FluxOS is a managed data platform. We may update, improve, or modify features over time. We provide the Service on an "as available" basis and may set operational limits (for example, on compute, storage, connections, or request rates).
2. Accounts
You must provide accurate registration information and are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 years old and able to form a binding contract. You are responsible for your users and for the data you load into the Service ("Your Content"). You retain all rights to Your Content; you grant us a limited license to host, process, and transmit it solely to provide the Service.
3. Acceptable use
You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) attempt to breach or circumvent security or access controls; (c) interfere with or disrupt the Service or other customers; (d) reverse engineer or resell the Service except as permitted by law; or (e) use the Service to store or transmit malware or unlawful content. We may suspend access to protect the Service or other customers.
4. Fees, billing, and taxes
- Paid plans (including Pro and Dedicated) carry a recurring subscription fee plus usage-based charges (for example, compute measured in worker-hours, size-weighted awake time, storage, and egress), as described on our pricing page.
- Subscriptions renew automatically each billing period until cancelled. Usage charges are billed in arrears based on metered usage.
- Payments are processed by our payment provider, Stripe. You authorize us and Stripe to charge your payment method for all amounts due.
- Fees are exclusive of taxes; you are responsible for applicable taxes. Fees are non-refundable except as stated in our Refund Policy or required by law.
- We may change pricing prospectively; changes apply at your next renewal.
5. Free tier
The free tier is provided without charge and subject to usage limits. We may modify or discontinue the free tier, or suspend free-tier workloads that exceed limits, at any time.
6. Term and termination
You may stop using the Service and cancel paid plans at any time (see the Refund Policy). We may suspend or terminate your access for violation of these Terms, non-payment, or to comply with law. On termination, your right to use the Service ceases; we may delete Your Content after a reasonable period. Sections that by their nature should survive termination will survive.
7. Warranties and disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free. You are responsible for maintaining your own backups of critical data.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUX DATA SYSTEMS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You will indemnify and hold harmless Flux Data Systems, LLC from claims arising out of Your Content or your use of the Service in violation of these Terms or applicable law.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated date; continued use of the Service after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Delaware, unless otherwise required by law.
